About AI Training and Legal Evaluation

AI training is the human side of building artificial intelligence. Legal experts create realistic examples, review model responses, and explain what makes an answer accurate, relevant, and professionally sound. Your work will help calibrate AI systems for the judgment, regulatory awareness, and transaction complexity expected in major corporate matters.

The Role

OpenTrain is seeking a Corporate M&A AI Evaluation Attorney to design evaluation tasks for AI systems operating in complex corporate transaction and governance contexts. You will build legal scenarios across two jurisdictional tracks: US corporate law, including the Delaware General Corporation Law, SEC regulations, and Model Business Corporation Act; and international corporate law, including the UK Companies Act 2006 and EU company law directives.

The source listing identifies this as an entry-level opportunity, while the required qualifications call for substantial professional corporate law experience. The role is remote, hourly, and performed on a contractor basis.

  • Compensation: $90–$100 per hour
  • Default commitment: 40 hours per week
  • Time requirement: 20+ hours per week
  • Employment type: Part-time contractor
  • Work arrangement: Remote and worldwide
  • Primary language: English

What You’ll Do

You will create sophisticated legal evaluation content that tests whether AI systems can reason through transaction structure, stakeholder interests, regulatory requirements, and corporate governance obligations. Your deliverables will include scenarios, reference materials, and scoring frameworks grounded in professional practice.

  • Construct scenarios involving large-scale M&A, multi-party deal negotiation, regulatory review, corporate governance, and restructuring.
  • Build tasks across deal structuring, securities and capital markets, corporate governance, commercial contracts, and corporate restructuring.
  • Develop scenarios involving Westlaw, Lexis, virtual data rooms such as Intralinks and Datasite, contract lifecycle management platforms, and document automation systems.
  • Apply deal structuring, due diligence review, and regulatory filing analysis to the relevant jurisdictional track.
  • Produce reference legal memoranda, transaction documents, and client- or regulator-facing narratives.
  • Write rubrics that distinguish authentic corporate law judgment from generic law school or bar-exam recall.

Required Qualifications

This role requires experienced corporate legal judgment and direct exposure to sophisticated transactions, governance matters, or securities work. Candidates should be able to translate practical legal reasoning into clear evaluation criteria for AI systems.

  • At least 5 years of experience as a corporate attorney or general counsel at a major law firm, investment bank, or corporation.
  • Experience at a major firm or large public company, such as Wachtell, Skadden, Cravath, Latham & Watkins, Kirkland & Ellis, or Sullivan & Cromwell, as examples provided in the role brief.
  • Direct ownership of M&A transactions, corporate governance matters, or securities filings.
  • A JD with bar admission or an international equivalent, such as Solicitor or Qualified Lawyer in England and Wales.
  • Fluency in corporate law tools and methodologies, including Westlaw, Lexis, virtual data rooms, and contract lifecycle tools.
  • Understanding of SEC review, antitrust or HSR requirements, international equivalents, regulatory approvals, and board or shareholder oversight.

Helpful Background

Expertise in one or both of the role’s jurisdictional tracks is valuable. Prior experience creating legal rubrics, training curricula, or transaction documentation is also a plus.

  • US corporate law, including the Delaware General Corporation Law, SEC regulations, or Model Business Corporation Act.
  • International corporate law, including the UK Companies Act 2006 or EU company law directives.
  • Prior authorship of evaluation rubrics, legal training materials, or transaction documentation.

Why This Work Matters

Modern AI systems learn from examples prepared and reviewed by people with real-world expertise. By creating precise corporate law scenarios and evaluation standards, you will help shape how advanced AI handles high-stakes transactions, governance questions, regulatory analysis, and legal drafting.

  • Contribute to cutting-edge AI evaluation using your corporate legal expertise.
  • Work remotely with a flexible contractor structure.
  • Help distinguish practical legal judgment from surface-level legal recall.
  • Build experience in a fast-growing field connecting professional expertise with AI development.
